有限责任公司章程中小股东权益保护条款

新公司法（05年公司法）下有限责任公司章程的作用，以及律师在起草、审核、修订公司章程过程中的作用越来越重要，例如，在章程自由约定条款中律师可起到决定性的作用。笔者认为，从法律角度考虑，有限责任公司章程中小股东的权益保护最需要公司法律师介入的主要有两部分内容：一部分是关于公司股权转让的条款，另一部分则是关于界定小股东可行使否决权事项的条款。实践表明，这些内容往往也是有限责任公司创始股东之间、新老股东之间、大股东与小股东之间在谈判过程中最容易产生分歧、最需要专业律师介入的法律问题。

一、 公司股权转让的条款

公司法第72条对公司股权的对外转让同时设置了股东同意权、异议股东购买义务（又称“购买权”）及股东优先购买权，表面上看似乎不难理解，但实务中可操作性较差，而且在国内各地高级人民的指导意见中对与公司法第72条有关法律事项的理解存在较大差异，因此若不在公司章程中对有关内容进行细化，可能无谓地引发争议和

纠纷，延长股权转让周期，增大股权转让不确定性和交易成本，尤其可能损害小股东的权益。

笔者认为，小股东委托的公司法律师在对股权转让的相关章程条款进行细化时，至少应考虑如下问题及要点：

1）争取对大股东稀释、增持及退出股权规定性条款，以及争取小股东可以自由稀释、增持及退出股权；

2）对行使购买权及优先购买权的程序作出详尽规定，包括请求答复期、指定异议股东购买期等期限的确定，以及异议股东股权购买合同版本及主要条件的安排等；

3）对行使购买权及优先购买权的资格及权益分配作出规定，如是否允许已投同意票的公司其他股东行使购买权或优先购买权，多名股东主张行使购买权或优先购买权时权益如何分配；

4）拟转让股东转让股权时是否召开股东会，若不召开，其向公司其他股东发出通知的方式、内容、次数如何规定，收到通知的其他股东应如何答复，不答复或模糊答复的如何处理；

5）对股权转让价格事先作出安排，包括异议股东行使购买权的价格

和内部股东行使优先购买权的价格，如价格需要评估，应事先对评估机构乃至评估方法作出安排；

6）对“同等条件”作出定义，“同等条件”不应狭隘地理解为同等价格，通常应包括价格、支付方式、付款期限以及其它足以对股权购买人的购买意愿产生重大影响的条款和条件；

7）是否允许公司其他股东部分购买拟转让的股权，如允许，应在章程中明确规定；

8）查明公司自然人股东可能的继承人，以及是否接受该等继承人在被继承人死亡后依法成为公司股东，若不接受，应在章程中明确规定；

9）是否考虑设立由大股东“回购”（受让）小股东股权的机制，即规定在某些特定情况下（如严重损害小股东利益、出现公司僵局或小股东无法实现参股目的等），大股东必须在一定期限内以事先约定的价格（或经约定的评估机构所评估的价格）购买小股东股权；

10）如无法大股东稀释股权，是否考虑规定当大股东稀释股权时，小股东有权同比例稀释其股权；

些特定情况下小股东有权以约定价格受让股权或认购增资（即增持股权），以及在某些特定情况下小股东有权以特定价格向其他股东转让其股权（即减持股权）；

12）是否对从事核心业务的重要子公司的股权转让作出及设定小股东优先购买该等子公司股权的权利。二、 小股东可行使否决权事项

对于小股东而言，由于其在资本决上处于劣势，很难指望其在公司权力机构（公司股东会及董事会等）中有太多的表决权和话语权，小股东有时甚至很难争取到经理、副经理、财务主管等公司高级管理人员的提名权或委派权。因此，为防止大股东滥用其控股地位，包括风险投资机构等在内的小股东比较关心的是对公司重大事宜的否决权（最好是一票否决权，即所谓的“超级多数决”），而且该等需行使超级多数决的事项对小股东来说是越多越好，以下谨列举出一些可规定需经超级多数决的重大事宜供参考：

1）修订公司章程；

2）终止或解散公司；

3）公司合并或分立；

4） 超过公司当年度可分配利润［*］%以上的利润分配方案；

5）增加、减少公司注册资本；

6）签订、变更或终止价值涉及每年累计超过的或履行期限超过的任何协议或安排(分期收款销售产品的协议除外)； 7) 订立金额超过的担保、反担保及授信额度；

8）金额超过的重大资产重组或中断公司的核心业务；

9）涉及金额以上的争议、诉讼或仲裁的提起或和解；

10) 涉及金额超过［*］的收购或订立协议收购、处分或订立协议处分公司重大资产的行为；

11）订立涉及金额超过［*］的关联交易；

12) 金额在［*］以上的对外投资；

13) 提议任命或变更公司审计机构，或批准会计方面的任何实质性变更；

14) 从事核心业务的子公司主营业务、宗旨或股权结构发生的重大变动；

15）公司每年累计超过的银行融资；

16）公司的任命和解聘；

17）批准公司年度财务预算和决算；

18）公司进行股份制改造、发行股票或公司债券以及公司上市计划；

19）任何股票期权、认股权等股权激励计划以及其他针对公司董事及/或公司员工的激励计划。


